Acceptance and scope

By accessing any official Orykto interface, broadcasting a transaction to an Orykto Protocol smart contract, connecting a wallet, or otherwise participating in Orykto Protocol (the "Protocol"), a person ("you", a "Participant") accepts these Terms of Service in their entirety and represents that it has the legal capacity and, where acting for an entity, the authority to do so. A person who does not accept these Terms must not access the Protocol and must cease all use of it.

These Terms apply to the public informational interfaces operated by the Foundation and to the deposit, lock, settlement, governance, and cancellation functions of the Protocol. They do not extend to third-party services, wallets, chains, bridges, oracles, or applications to which the Protocol may connect, each of which is governed by its own terms. These Terms apply to each access and each transaction, including access that occurs after an amendment is published.

Definitions

"Abstract Chain" is the third-party blockchain network on which the Protocol is deployed. "The Vault" is the structural container that holds the funded book of human-capital revenue rights and contains the Pools. A "Pool" is any Single Pool or Stable Pool. A "Single Pool" is a junior position taking direct exposure to a single name, with principal at risk. A "Stable Pool" is a senior position diversified across the whole book of its sector, with a defined Baseline. The "Baseline" is a modeled return floor of a Stable Pool, set per pool, supported in two tiers as described below; it is modeled, not guaranteed, and can be missed. The "IP monetization partner" is the entity that operates the monetization of a Pool's underlying intellectual property and that, under its contract with the Foundation, contractually commits to support the Baseline of the Stable Pool as the first tier of that support. The "IP rights holder" is the owner of that intellectual property. The "Protocol Reserve" (the "Reserve") is a finite reserve held by the Foundation as the second and final tier of the Baseline support, standing behind the IP monetization partner; it supports the Stable Pool Baseline alone, and is not a first-loss buffer and does not stand ahead of any Pool. The "Architects" are the liquidity providers who participate in governance of allocation, parameters, and the Reserve.

Capitalized terms not defined here carry the meaning given to them in the Whitepaper and the underwriting documentation published by the Foundation. References to a person include its successors and permitted assigns. The words "including" and "includes" are illustrative and not limiting. Headings are for convenience only and do not affect interpretation.

Incorporated documents and order of precedence

These Terms are to be read together with the Privacy Policy and the Risk Disclosure, each of which is incorporated by reference, and with the parameters, lock terms, and loss and settlement terms published for a given Pool at the time of deposit (the "Pool Terms"). To the extent of an irreconcilable conflict on a matter of Pool mechanics, the Pool Terms control for that Pool; on all other matters these Terms control. The Whitepaper and marketing materials are informational and do not vary these Terms.

Electronic acceptance, records, and communications

You consent to transact and to receive all disclosures, notices, and communications from the Foundation in electronic form, including by publication to an official interface, and you agree that such electronic delivery satisfies any requirement that a communication be in writing. Your broadcast of a transaction to a Protocol smart contract is an electronic signature manifesting your assent to these Terms and to the applicable Pool Terms. The records maintained by the Foundation and the records written to Abstract Chain are admissible evidence of the matters they record. You are responsible for maintaining accurate contact details if you provide them.

Nature of the Protocol

The Protocol is non-custodial. The Foundation does not take custody of Participant assets, does not control Participant private keys, and cannot reverse, freeze, or modify transactions once they are submitted to Abstract Chain. Settlement is performed by smart contract according to published logic.

Orykto Protocol is non-custodial on-chain infrastructure operated by the Foundation. The Foundation does not act as a bank, deposit-taker, broker-dealer, investment adviser, fund manager, exchange, custodian, clearing house, or money-services business, and nothing in the Protocol constitutes the provision of those services or the creation of any fiduciary, advisory, agency, or trust relationship between you and the Foundation. The Foundation owes you no duty beyond those expressly stated in these Terms and the applicable Pool Terms.

Eligibility and restricted persons

Access is conditioned on your legal capacity to enter into these Terms in your jurisdiction, on your being of the age of majority in your jurisdiction, and on your participation not being prohibited by applicable law. You represent that you are not subject to applicable sanctions and are not accessing the Protocol from, or on behalf of a person ordinarily resident in, a jurisdiction in which such access is unlawful.

Orykto Protocol does not solicit participation from US persons. Orykto Protocol does not solicit participation from Korean residents. Orykto Protocol does not solicit participation from persons located or resident in the European Union or the European Economic Area. The Foundation may designate further restricted jurisdictions and restricted categories of person, and may restrict access from any jurisdiction without notice. The use of a virtual private network, proxy, or any other means to conceal location or to circumvent a restriction is a material breach of these Terms and grounds for immediate denial of access.

Sanctions, anti-money-laundering, and source of funds

You represent and warrant, on each access and on each transaction, that you, any person on whose behalf you act, and the assets you commit are not subject to and do not originate from any person or jurisdiction that is the target of applicable economic sanctions, and that the assets are lawfully owned by you and are not the proceeds of, and will not be used to further, any unlawful activity, money laundering, or the financing of terrorism.

The Foundation operates a non-custodial protocol and does not as a general matter collect identity documentation, but it reserves the right, where it reasonably considers it necessary to comply with law or to protect the integrity of the Protocol, to request information, to apply screening and analytics to wallet addresses and transactions, to decline or reverse onboarding, to restrict an address, and to make any disclosure required by a competent authority. You agree to cooperate with any lawful request and acknowledge that a refusal may result in restriction of access.

Participant representations and warranties

You represent and warrant that: the information you provide is true and not misleading; you control the wallet you use and are solely responsible for its security; you have independently evaluated the Protocol and are not relying on any statement of the Foundation as advice or as a promise of outcome; you understand the lock terms, how loss is borne for each Pool, the per-pool nature of any Baseline, the cancellation and refund mechanics, and the risk of partial or total loss of principal; you are participating for your own account and not on behalf of an undisclosed person; you are not entitled to, do not require, and are not relying on the revenue, financial, accounting, or other internal or confidential information of the Foundation, of any IP monetization partner, or of any other counterparty in deciding to participate; and your participation complies with all laws, regulations, and tax obligations applicable to you. These representations are repeated on each access and each transaction and survive termination.

Prohibited uses

You must not, and must not attempt to or assist another to: use the Protocol for or in furtherance of any unlawful purpose; circumvent or attempt to circumvent any eligibility, sanctions, geographic, or technical restriction; exploit, probe, attack, overload, or interfere with the Protocol, the interfaces, Abstract Chain, or any oracle, including by denial-of-service, smart-contract exploit, oracle or price manipulation, or front-running beyond ordinary network behavior; access the Protocol by any automated means that imposes an unreasonable burden; reverse engineer the interfaces except to the extent that restriction is prohibited by law; misrepresent your identity, eligibility, or the source of your assets; infringe the intellectual property or other rights of any person; or use the Protocol in any manner that could damage, disable, or impair it or expose the Foundation or other Participants to liability. Breach of this section is a material breach and grounds for immediate restriction and for indemnification under these Terms.

No advice and no solicitation

No material published by or through the Protocol is investment, legal, tax, or accounting advice, and none is an offer, solicitation, recommendation, or inducement to buy, sell, or hold any instrument in any jurisdiction. All figures, including any modeled sector target, are illustrative only and are not a forecast of, or a promise as to, any individual outcome. Past performance does not predict future performance.

You are solely responsible for evaluating the merits and risks of any participation and for obtaining independent professional advice where appropriate. No statement by any contributor, councilor, or community member, in any channel, is authorized advice or a representation that binds the Foundation.

Participation, lock, and settlement

Capital deposited into a Pool is subject to the lock terms and loss and settlement terms defined for that Pool at the time of deposit. A Single Pool position is window-bound. Lock terms differ by Pool and are specified for that Pool at the time of deposit. Settlement is targeted within 14 days of cycle close, subject to oracle verification. Withdrawal is subject to lockup terms specified at deposit. The Foundation does not guarantee the availability of withdrawal, redemption, or secondary liquidity at any particular time or price.

Capital deposited into a Pool is deployed to fund the production cycle to which that Pool is exposed; the production generates the off-chain revenue from which the Pool is settled in accordance with its published terms. The capital is applied to that production and is not held idle on your behalf. The return of capital, and of any baseline or surplus, depends on the performance of the production so funded and is subject to how loss is borne for that Pool, the per-pool nature of any Baseline, and the risks described in the Risk Disclosure; it is not a promise of any outcome.

You are solely responsible for verifying Pool parameters, lock terms, the network, and the destination of every transaction before you submit it. A transaction submitted to Abstract Chain is irreversible; the Foundation cannot recover assets sent to an incorrect address, on an incorrect network, or in an incorrect amount, and bears no responsibility for any such loss.

Baseline support, Reserve, and loss

A Single Pool and a Stable Pool bear loss independently: loss in one neither absorbs nor protects the other, and no Pool's capital stands ahead of another's. A Single Pool takes direct exposure to a single name; its capital bears that name's outcome in full, from the first unit of loss, with nothing — not the Reserve, not the IP monetization partner, not any other Pool — absorbing loss ahead of it. A Stable Pool is protected first by diversification across the whole book, and second by the two-tier support of its Baseline: first by the IP monetization partner, which contractually commits to support the baseline under its contract with the Foundation, and second by the Protocol Reserve, which stands behind that commitment up to its capacity and supports the Stable Pool Baseline alone. For a Single Pool, Principal is at risk. Outcomes can be higher, lower, or negative.

A Stable Pool baseline is a modeled return floor of that Pool, set per pool, supported by the two-tier support described above. It is modeled, not guaranteed, and can be missed: the IP monetization partner may fail to perform its commitment, the Reserve supports the baseline only up to its capacity, and the baseline is subject to the tail events described in the Risk Disclosure. There is no single fixed protocol-wide rate, and returns above the baseline are not promised. The Foundation makes no representation that any baseline will be met where the IP monetization partner defaults and losses exceed Reserve capacity, and is under no obligation to contribute to, replenish, or maintain the Reserve at any particular level except as expressly stated in the applicable Pool Terms.

Pool cancellation and full refund

A Pool may be cancelled before settlement. The right to cancel is held by the Foundation, the IP monetization partner, and the IP rights holder, any one of whom may exercise it in accordance with the governing agreements; it is not a right of the Participant. On cancellation, the Pool is unwound and ceases to carry exposure to the underlying revenue.

On cancellation, each Participant is refunded the capital it contributed to the Pool, in the same asset and amount as the Pool received. The refund is made at the contributed amount; it is not marked to, increased by, or reduced by the prevailing market price of any token or asset, and it carries no baseline, return, yield, interest, profit, or appreciation. It does not compensate for market movement, opportunity cost, lock duration, taxes, or network or transaction fees. Cancellation may occur before the end of any lock term, may occur without prior notice, and the refund, once made available to the contributing address, discharges the obligations of the Foundation and the Pool to the Participant in full.

Tokens, ownership, and governance

Pool tokens are not deposits. Pool tokens are not insured by any government scheme. Participation does not confer any equity, ownership, membership, dividend, or control right in the Foundation, nor any claim against the assets of the Foundation beyond the rights expressly encoded in the relevant Pool contract. Pool tokens are functional records of a position within the Protocol and are not offered or intended as securities, and the Foundation makes no representation as to their legal characterization in any jurisdiction.

Protocol parameters may be set and amended through the governance process in which the Architects participate. Governance participation is a structural right within the Protocol; it is not a profit-sharing arrangement and confers no entitlement to any return. The Foundation does not promise, and you must not expect, any airdrop, distribution, or future benefit by reason of participation.

Reserved rights to restrict, suspend, and modify

The Foundation may, at its discretion and without liability, suspend, restrict, or withdraw access to any interface, restrict access from any address or jurisdiction, modify or discontinue any feature, and take any step it reasonably considers necessary to comply with law, to respond to a security incident or suspected unlawful activity, or to protect the Protocol and other Participants. These rights operate at the level of the interfaces and of access; they do not give the Foundation custody of, or the ability to reverse, on-chain positions, which remain governed by smart-contract logic.

Taxes

You are solely responsible for determining, reporting, and paying any tax, levy, or duty arising from your participation, and for any filing or withholding obligation that applies to you. The Foundation does not collect or remit taxes on your behalf and gives no tax advice. Any figure stated by the Protocol is gross of tax. Where the Foundation is required by law to withhold or to report in respect of you, you authorize it to do so and to make any associated disclosure.

Third-party services and applications

Abstract Chain and any wallet, bridge, oracle, or other network the Protocol relies on or connects to are operated by independent third parties outside the Foundation's control. Consumer-facing applications offered under license from the Foundation are operated by separate legal entities under their own terms; nothing in these Terms creates a parent, subsidiary, agency, or partnership relationship with any such entity. The Foundation does not endorse and is not responsible for any third-party service, and your use of it is at your own risk and subject to that third party's terms.

Technology and smart-contract risk

The Protocol is provided "as is" and "as available". Smart contracts may contain errors, may be exploited, and may behave in unintended ways. No audit, attestation, or proof-of-reserve, whenever conducted or published, eliminates this risk. Abstract Chain may fork, reorganize, halt, congest, or fail. You accept the technology risk of participation in full.

Assumption of risk and release

You knowingly and voluntarily assume all risks of participation, including the risk of partial or total loss of principal, the risks described in the Risk Disclosure, and the risks of the underlying blockchain and third-party infrastructure. To the maximum extent permitted by law, you release the Foundation and its councilors, officers, contributors, and agents from any claim, demand, or liability arising from a risk so assumed, including loss caused by smart-contract failure, oracle failure, chain failure, market movement, cancellation, your own error, or the act or omission of any third party.

Fees

The Protocol may apply protocol-level fees that are encoded in the relevant smart contracts and disclosed in the interface or the Whitepaper at the time of deposit. Network gas fees are payable by you to Abstract Chain validators and are not collected by the Foundation. Fee parameters may be amended prospectively through governance and apply to transactions submitted after the amendment takes effect.

Intellectual property and feedback

The Orykto name, the monolith mark, the wordmark, and the design, text, and graphics of the official interfaces are the property of the Foundation and are protected by applicable law. These Terms grant no license to those marks beyond the limited, revocable, non-transferable right to access the interfaces for their intended purpose. Smart-contract source code is licensed only as stated in its repository.

If you submit comments, suggestions, or other feedback regarding the Protocol, you grant the Foundation a perpetual, irrevocable, worldwide, royalty-free license to use it for any purpose without obligation or attribution to you, and you represent that you have the right to grant that license.

Confidentiality and no disclosure obligation

The commercial, financial, and operational information of the Foundation and of the parties with which it contracts is confidential and proprietary, and the Foundation is under no obligation to disclose it. Without limitation, the Foundation is not required to disclose, and you are not entitled to receive, inspect, audit, or be informed of: the revenue, sales, royalties, receipts, margins, costs, financial statements, accounts, books, or records of the Foundation, of any IP monetization partner, of any IP rights holder, or of any originator, production entity, or other counterparty; the existence, terms, pricing, duration, or performance of any agreement among them; the underwriting, models, assumptions, inputs, valuations, projections, or methodologies used to structure, price, or settle any Pool or any Baseline; the composition, sizing, sources, holdings, or accounting of the Protocol Reserve beyond what the Foundation elects to publish; the identity of, or the commercial arrangements with, any counterparty; or any other internal, confidential, proprietary, or trade-secret information relating to the Protocol or to the underlying intellectual property and its monetization.

What the Foundation publishes — the Pool parameters and lock terms in effect at the time of deposit, the loss and settlement terms, the legal form of the Foundation, and the records written to Abstract Chain — is the full extent of the transparency the Foundation offers, and it is offered as to the structure of the Protocol and not as to the commercial or financial information described above. You acknowledge that you participate without access to that information, that you do not require it and are not relying on it, and that any figure the Protocol does publish, including any modeled target or Baseline, is illustrative and is not a representation as to the revenue, profitability, or financial condition of the Foundation or of any partner. Nothing in this section requires the Foundation to create, compile, verify, retain, or continue to publish any information, and the Foundation may cease publishing any non-mandatory information at its discretion. This section does not purport to limit any disclosure that applicable law or a competent authority requires the Foundation to make; to the maximum extent permitted by law, the Foundation's duty to disclose is limited to what that law expressly requires, and no broader duty of disclosure, whether in contract, tort, fiduciary, equity, or otherwise, arises by implication.

Disclaimers and limitation of liability

To the maximum extent permitted by law, the Foundation disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, accuracy, availability, and non-infringement, and does not warrant that the Protocol will be uninterrupted, error-free, secure, or free of harmful components, or that any defect will be corrected. No advice or information obtained from the Foundation creates any warranty not expressly stated here.

To the maximum extent permitted by law, the Foundation and its councilors, officers, contributors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of principal, profit, revenue, data, goodwill, or anticipated savings, however arising and whether in contract, tort, or otherwise, even if advised of the possibility. Where liability cannot be excluded, the aggregate liability of the Foundation to you for all claims arising from or relating to the Protocol is limited to the greater of the protocol fees actually received by the Foundation from you in the three months preceding the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain exclusions; where so, the foregoing applies to the fullest extent permitted.

Indemnification

You agree to indemnify, defend, and hold harmless the Foundation and its councilors, officers, contributors, and agents from and against any claim, loss, liability, damage, fine, penalty, or expense, including reasonable legal fees, arising from your use of the Protocol, your breach of these Terms or the Pool Terms, your violation of any applicable law or third-party right, or any tax obligation that is yours. The Foundation may assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate.

Force majeure

The Foundation is not liable for any failure or delay in performance to the extent caused by an event beyond its reasonable control, including act of God, natural disaster, epidemic, war, civil unrest, governmental or regulatory action, change in law, sanctions, failure or congestion of Abstract Chain or of any oracle, bridge, validator, or telecommunications or internet service, power failure, or cyberattack.

Term, suspension, and survival

These Terms apply for as long as you access the Protocol. The Foundation may suspend or terminate your access at any time as permitted in these Terms. Termination does not affect any position already recorded on-chain, which remains governed by the applicable Pool Terms and smart-contract logic. The provisions that by their nature should survive, including definitions, representations, disclaimers, limitation of liability, indemnification, assumption of risk, governing law, and dispute resolution, survive termination.

Governing law and dispute resolution

These Terms are governed by the laws of the Republic of Panama, without regard to conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Protocol, including its existence, validity, breach, or termination, shall be resolved by final and binding arbitration administered under the applicable arbitration rules in force, seated in Panama City, before one arbitrator, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

All disputes shall be conducted on an individual basis only. You waive any right to participate in a class, collective, consolidated, or representative proceeding and any right to a trial by jury. Nothing in this section prevents either party from seeking interim or injunctive relief from a court to protect its rights pending arbitration. Any claim must be brought within one year after the cause of action arises, or it is permanently barred to the extent permitted by law.

Assignment, waiver, notices, and third parties

You may not assign or transfer these Terms or any right under them without the Foundation's prior written consent; the Foundation may assign these Terms in connection with a reorganization or transfer of the Protocol. No failure or delay by the Foundation in exercising a right is a waiver of it, and no single or partial exercise precludes any further exercise. Notices to you may be given by publication to an official interface or, where you have provided an address, electronically. Except for the indemnified persons named in these Terms, these Terms create no right enforceable by any person who is not a party.

Amendment, severability, language, and entire agreement

The Foundation may amend these Terms prospectively by publishing a revised version with a new effective date; your continued access after publication constitutes acceptance, and if you do not accept you must cease use. If any provision is held unenforceable, it is to be modified to the minimum extent necessary to be enforceable, or if it cannot be, severed, and the remainder remains in full effect. These Terms may be published in more than one language; in the event of conflict the English version controls. Together with the Privacy Policy, the Risk Disclosure, and the applicable Pool Terms, these Terms are the entire agreement between you and the Foundation regarding the Protocol and supersede all prior understandings.

Controller and scope

The Foundation is the controller for personal data processed through its official interfaces, and this Policy covers those interfaces only. It does not cover Abstract Chain, third-party wallets, or external sites and applications, each of which processes data under its own terms. Where this Policy and the Terms of Service address the same matter, this Policy governs the handling of personal data.

Privacy of persons, transparency of the system

The Foundation draws a deliberate line between individuals and infrastructure. The identities of individuals are protected; the structure of the Protocol is not concealed. The legal form of the Foundation, its custody arrangements, how loss is borne, and on-chain records are open to inspection, while the Foundation does not publish the personal identity, nationality, or residence of the individuals who contribute to it. Privacy here applies to people, not to the system.

Information processed

The interfaces process: (a) public on-chain data, including wallet addresses and the transactions you broadcast, which are inherently public; (b) technical and usage data such as IP address, approximate location derived from it, device and browser characteristics, and interaction logs, collected to operate and secure the interface and to detect abuse; (c) information you choose to provide, such as a contact email when you write to the Foundation; and (d) where the Foundation reasonably considers it necessary to comply with law, the results of screening applied to wallet addresses and transactions. The Foundation does not seek to collect special categories of personal data and asks that you not submit them.

Information not processed

The Foundation does not collect or hold private keys, seed phrases, or custody of any asset. It does not require account creation to view public information, and it does not knowingly assemble identity profiles beyond what is necessary for the purposes stated in this Policy.

Purposes and legal bases

Data is processed to operate, secure, and improve the interfaces, to prevent fraud and abuse, to comply with legal, regulatory, sanctions, and anti-money-laundering obligations, to establish, exercise, or defend legal claims, and to respond to enquiries. Where a legal basis is required, the Foundation relies, as applicable, on its legitimate interests in operating and securing the infrastructure and preventing abuse, on the performance of the Terms and steps taken at your request, on compliance with a legal obligation, and, where required for non-essential processing, on your consent, which you may withdraw at any time without affecting prior processing.

On-chain data is public and permanent

Transactions recorded on Abstract Chain are public, permanent, and outside the Foundation's control. The Foundation cannot edit, erase, or anonymize on-chain records, and rights of erasure, rectification, or restriction cannot be exercised against them. You should treat any data you broadcast to the chain as permanently public and capable of being analyzed and linked by third parties.

Cookies and analytics

The interfaces may use strictly necessary cookies and privacy-respecting, aggregated analytics. Where consent is required by law, it is requested before any non-essential storage is used. You can control or withdraw cookie consent through the interface controls, where provided, and through your browser settings; disabling strictly necessary cookies may impair the interface.

Processors and disclosure

The Foundation may engage service providers, such as hosting, security, and analytics vendors, that process data on its behalf under written terms that require confidentiality and processing only on the Foundation's instructions. The Foundation does not sell personal data and does not share it for cross-context behavioral advertising. It may disclose data where required by law or legal process, to a competent authority, to enforce the Terms, to establish or defend legal claims, in connection with a reorganization or transfer of the Protocol, or to protect the rights, property, or safety of users, the public, or the Protocol.

International transfers

The Foundation operates globally accessible infrastructure, and data may be processed in jurisdictions other than your own, including jurisdictions that may not provide an equivalent level of protection. Where such transfers occur and a transfer mechanism is required, the Foundation relies on an appropriate safeguard, such as standard contractual clauses or an adequacy determination, and otherwise on a derogation permitted by applicable law.

Retention

Off-chain technical and contact data is retained only as long as necessary for the purposes for which it was collected, or as required to meet a legal, accounting, or regulatory obligation or to resolve a dispute, after which it is deleted or aggregated. Compliance and screening records may be retained for the period required by applicable law. On-chain data persists independently of any retention schedule and cannot be deleted by the Foundation.

Your rights

Subject to and to the extent provided by applicable law, you may request access to the off-chain personal data the Foundation holds about you and information about its processing; request correction of inaccurate data; request deletion; object to or request restriction of certain processing; withdraw consent where processing is based on consent; and request portability of data you provided. Where you are in a jurisdiction that grants these rights, the Foundation will respond within the period required by law and without charge unless a request is manifestly unfounded or excessive. The Foundation may verify your identity before acting and cannot action requests in respect of immutable on-chain data.

Supervisory authority and complaints

You may raise a concern with the Foundation at the contact address below, and the Foundation will seek to resolve it. Where applicable law provides, you also have the right to lodge a complaint with the data protection or privacy supervisory authority in your jurisdiction, without prejudice to any other remedy.

Regional disclosures

Where you are protected by a regional privacy law, additional rights may apply and are honored to the extent that law requires. The Foundation does not sell or share personal data as those terms are defined under United States state privacy laws, does not use sensitive personal data for purposes requiring a right to limit, and does not discriminate against any person for exercising a right. An authorized agent may submit a request on your behalf where the law permits and on provision of proof of authority.

Automated decision-making

The Foundation does not make decisions that produce legal or similarly significant effects concerning you based solely on automated processing without human involvement, save where screening required by law flags a transaction for human review. It does not engage in profiling for marketing purposes.

Security and breach

The Foundation applies reasonable technical and organizational measures appropriate to the risk to protect off-chain data, including access controls and encryption in transit, although no system or transmission is perfectly secure and you provide information at your own risk. Where a personal data breach is likely to result in a risk to your rights, the Foundation will notify the relevant authority and, where required, affected persons, in accordance with applicable law.

Minors

The interfaces are not directed to, and the Foundation does not knowingly process personal data of, persons under the age of majority in their jurisdiction. If the Foundation learns that it has collected such data without a lawful basis, it will delete it. A parent or guardian who believes a minor has provided data may contact the Foundation.

Do Not Track and global privacy signals

Industry has not settled a uniform standard for "Do Not Track" signals. Where applicable law requires the Foundation to honor an opt-out preference signal communicated by your browser or device, it will treat that signal as a valid request to the extent required.

Changes and contact

This Policy may be amended prospectively by publication of a revised version with a new effective date; material changes will be made evident on the interface. Continued use after publication constitutes acknowledgment of the revised Policy. Questions and rights requests may be directed to the Foundation at the contact channel published on the official interface.

General risk of loss

Participation in Orykto Protocol involves risk of partial or total loss of principal. You should participate only with capital you can afford to lose in full, and only after forming your own assessment of the risks described here and elsewhere.

Suitability and capacity

Participation is not suitable for everyone. You should participate only if you have the knowledge and experience to evaluate the risks, the financial capacity to bear a total loss without impairing your circumstances, and no need for the capital during the applicable lock term. Nothing here is a recommendation that participation is suitable for you; that assessment is yours alone, made with independent professional advice where appropriate.

Tokens are not deposits

Pool tokens are not deposits. Pool tokens are not insured by any government scheme. No central bank, deposit-insurance scheme, or public authority backs any position in any Pool.

The baseline is per pool, two-tier-supported, modeled, and conditional

The pool's baseline (set per pool) is supported in two tiers: first by the IP monetization partner under its contract with the Foundation, and second by the Protocol Reserve, which stands behind that support. Performance above the baseline varies and is not promised. The baseline is a modeled return floor for a Stable Pool only; it is modeled, not guaranteed, there is no single fixed protocol-wide rate, and the baseline can fail to be met — it can be missed — where the IP monetization partner defaults on its commitment and losses exceed Reserve capacity.

How loss is borne

A Single Pool and a Stable Pool bear loss independently; they do not share a loss order, and no Pool's capital stands ahead of another's. A Single Pool takes direct exposure to a single name: its capital bears that name's outcome in full, from the first unit of loss, with nothing — not the Reserve, not the IP monetization partner, not any other Pool — absorbing loss ahead of it. A Stable Pool is protected first by diversification across the whole book, and second by the two-tier support of its baseline (supported first by the IP monetization partner's contractual commitment and backed second by the Reserve, as described above and below), which supports the Stable Pool baseline alone. The baseline is modeled, not guaranteed, and can be missed. For a Single Pool, Principal is at risk. Outcomes can be higher, lower, or negative. Single Pool figures are modeled average performance, not a forecast of any individual result.

Two-tier support, Reserve capacity, and tail events

A Stable Pool's baseline is supported in two tiers: the IP monetization partner's contractual commitment first, and the Protocol Reserve second. The baseline is modeled, not guaranteed, and can be missed. The Reserve is reached only where the partner fails to perform, and it supports baselines only up to its capacity, which is finite and may be depleted. The Foundation is under no obligation to contribute to, replenish, or maintain the Reserve at any particular level except as expressly stated in the applicable Pool Terms, and the Reserve may be insufficient to meet all baselines simultaneously. Extreme or correlated tail events, including IP monetization partner default, originator insolvency, jurisdictional asset seizure, smart-contract vulnerability, and sustained underperformance, may exceed both tiers, in which case Stable Pool baselines may not be met. Junior (Single Pool) capital is exposed to its one name's outcome in full, independently of the tiers, and may be lost in full whenever that name fails. Tail events not enumerated above may materially impair principal recovery.

Underlying revenue risk

Capital deposited into a Pool is deployed to fund the production cycles to which that Pool is exposed. Pool performance depends on off-chain revenue generated by the underlying intellectual property and human-capital production cycles, which that capital funds. That revenue is variable and may underperform, be delayed, or fail to materialize, in which case the capital so deployed may not be recovered in full. Returns above the baseline, including any modeled sector target, are illustrative and are not promised. Past performance does not predict future performance.

Concentration and correlation risk

A Single Pool takes direct exposure to a single name and is therefore concentrated; the failure or underperformance of that one name can cause a total loss of the position. Diversification within a Stable Pool reduces but does not eliminate risk, and apparently independent names may underperform together where they share common dependencies, such as a single monetization partner, platform, market, or macroeconomic condition. Because human-capital revenue follows a power-law distribution, a small number of names can account for a disproportionate share of a book's outcome; where that tail is heavy, diversification narrows the dispersion of returns more slowly, and a single name can move a cycle even within a diversified Stable Pool. Correlated losses across the book can stress the Reserve more severely than isolated losses.

Valuation and modeling risk

Targets, baselines, and other figures rest on models, assumptions, and inputs that may prove incomplete or incorrect, and that may change. Modeled average performance is a statistical construct, not a prediction of any individual Pool or individual result. The value of an underlying revenue right is an estimate and may differ materially from amounts ultimately realized.

Originator and counterparty risk

The Protocol depends on originators, production entities, monetization partners, and other counterparties to perform their off-chain obligations. The insolvency, breach, fraud, or operational failure of any such party may impair the cashflow backing a Pool and reduce or eliminate returns. Enforcement of off-chain rights against such a party may be slow, costly, or unsuccessful and depends on legal systems outside the Protocol.

Conflicts of interest

The Foundation, the IP monetization partner, and the IP rights holder may have interests that diverge from those of Participants, including in the timing and exercise of the right to cancel a Pool, in the setting of parameters, and in the allocation of opportunities. The right to cancel is held by those parties and not by the Participant. While the Foundation seeks to manage conflicts, they cannot be eliminated and may affect outcomes.

Settlement and oracle risk

Settlement is targeted within 14 days of cycle close, subject to oracle verification. Settlement depends on the correct and timely operation of the oracle that verifies off-chain revenue on-chain. Oracle error, delay, manipulation, or failure may delay settlement, misstate amounts, or impair recovery.

Cancellation and early unwind

A Pool may be cancelled before settlement by any of the Foundation, the IP monetization partner, or the IP rights holder. On cancellation, the position is unwound and the capital you contributed is refunded in the same asset and amount you contributed, irrespective of the prevailing market price; no baseline, return, or other amount is owed. Cancellation is outside your control, may occur without notice and before the end of any lock term, and means the expected duration and return of a position may not be realized.

Smart-contract and technology risk

Smart contracts may contain vulnerabilities and may be exploited. No audit, attestation, or proof-of-reserve, whenever conducted or published, eliminates this risk. Abstract Chain and any oracle, bridge, or wallet are operated by third parties and may fail, halt, or be compromised. Such failures may result in loss of funds that cannot be recovered.

Blockchain network risk

Abstract Chain is a third-party network whose operation is outside the Foundation's control. It may fork, undergo a chain reorganization, halt, suffer congestion or rising fees, or change its rules in ways that affect the Protocol. Transactions may be reordered, delayed, front-run, or subjected to other forms of value extraction by network participants. A transaction once broadcast is irreversible and cannot be recalled by the Foundation.

Asset, stablecoin, and currency risk

The assets used to participate may themselves carry risk. A stablecoin or other asset may lose its peg, become illiquid, be frozen by its issuer, or fail. The value of any asset measured against your home currency may fluctuate. These risks are independent of Pool performance and may cause loss even where a Pool performs as modeled.

Liquidity and lock risk

Deposited capital is locked for the term of the Pool, which differs by Pool and is specified for that Pool at the time of deposit; a Single Pool is window-bound. Withdrawal is subject to lockup terms specified at deposit. Secondary markets, if any, may be illiquid or unavailable, and you may be unable to exit a position at a desired time or price, or at all.

Custody and key risk

The Protocol is non-custodial. You are solely responsible for the security of your wallet and private keys. The loss, theft, or compromise of your keys results in irreversible loss of access to your assets, which the Foundation cannot restore.

Cybersecurity, fraud, and social engineering

You may be targeted by phishing, fraudulent interfaces, fake support, malicious approvals, and other social-engineering attacks that seek to induce you to disclose keys or to authorize transactions. The Foundation will never ask for your seed phrase or private keys. You are responsible for verifying that you are interacting with an official interface and contract and for the transactions you authorize; a loss caused by such an attack may be unrecoverable.

Regulatory and jurisdictional risk

The legal and regulatory treatment of on-chain instruments is uncertain and evolving and differs by jurisdiction. Changes in law, regulatory or enforcement action, sanctions, or jurisdictional asset seizure may adversely affect the Protocol, restrict or terminate access, impose obligations on you, or impair the value or transferability of any position. Your own participation may be or become unlawful in your jurisdiction.

Governance and operational risk

Protocol parameters may be changed through governance in which the Architects participate, and such changes may affect existing or future positions. Governance may act slowly, may reach outcomes adverse to a given Participant, and may be subject to concentration of influence. The Protocol also depends on the continued operation and competence of the Foundation and its contributors, the loss of which could impair the Protocol.

Limited operating history

The Protocol has a limited operating history. Models, parameters, and the Reserve have not been tested across a full range of market and tail conditions, and early performance, if any, is not indicative of future results. Unanticipated risks may emerge as the Protocol operates at scale.

Tax risk

The tax treatment of participation, returns, refunds on cancellation, and token movements is uncertain, varies by jurisdiction, and may change, including retroactively. You are solely responsible for your tax position, and an adverse determination may reduce or exceed any economic benefit of participation.

Information asymmetry and limited information

You decide whether to participate, and you commit capital, without access to the commercial and financial information of the Foundation, the IP monetization partner, the IP rights holder, or any originator or production entity, including their revenue, sales, royalties, accounts, contracts, models, projections, and the economics of the arrangements among them. The Foundation is under no obligation to disclose that information, and you are not entitled to receive, verify, or audit it; the parties to whom it belongs treat it as confidential and proprietary. You therefore participate under a material information asymmetry: you cannot independently confirm the inputs, assumptions, or counterparty economics on which a Pool, its Baseline, or any modeled figure depends, and you rely on the performance of off-chain obligations by the Foundation and its counterparties that you cannot observe. This asymmetry may conceal risks that are not apparent from the published parameters or the on-chain records, and you assume that risk in full. Any information the Foundation does publish may be summary in nature, may change, and is not a substitute for the information that is not disclosed; its publication creates no obligation to publish it again or to publish anything further.
